Pi Terms & Conditions

Please read these Terms of Use carefully before using the events service or mobile application and services operated by Pi Exploration, Inc. 

These terms and conditions govern:  

  • The Pi webpage, https://app.joinpi.ai. The Pi website and services allow event organizers to create and host free and paid events.
  • The Pi mobile applications and services made available to you by Pi Exploration, Inc. headquartered in San Francisco, California, USA. 

The entire contractual relationship relating to these services and products is entered into solely by the Owner and Users.

Terms of Use

These terms of use govern the use of Pi Exploration, Inc. Unless explicitly stated otherwise, these terms apply broadly to all users.

Additional terms and conditions may be applicable in specific situations, and such specifics are provided within this document.

Users of Pi Exploration, Inc confirm that they meet the following conditions:

  • Users may be Consumers or Business Users without any restriction.
  • Users must not be situated in a country subject to a U.S. Government embargo or identified by the U.S. Government as a “terrorist-supporting” country.
  • Users must not be listed on any U.S. Government roster of prohibited or restricted parties.

By accessing or using the Services provided by Pi Exploration, Inc, you agree to adhere to these Terms and any additional terms presented by Pi Exploration, Inc within the Services. These supplementary terms are an integral part of the overall Terms. Pi Exploration, Inc retains the authority to assess user accounts and actions on the Services to verify compliance with our Terms.

Your agreement to these Terms is affirmed by accessing, using, uploading, or downloading any information or materials to or from the Services. Additionally, by creating an account, clicking “Sign Up,” or engaging in any similar mechanism that indicates your consent to these Terms, you are bound by the obligations outlined herein. If you do not consent to these Terms, refrain from accessing or using the Services.

The provision of Pi Exploration, Inc Services and the execution of the agreement outlined in these Terms of Service require Pi Exploration, Inc to process data about you and other Pi Exploration, Inc users, encompassing your location data. The processing of the data you disclose to Pi Exploration, Inc, which includes location data, is necessary for the delivery of the Services we offer and constitutes an essential component of our fulfillment of the agreement established with you.

Account Registration & Eligibility

Pi Exploration, Inc Services are designed for individuals who are at least 12 years old or the higher age required in your country to use the Services. If you are below the legal age to form a binding contract in your jurisdiction, you affirm that your parent or legal guardian has reviewed and consented to these Terms on your behalf.

Registration Requirements

To utilize the Services, registration is necessary. By doing so, you agree to:

(a) Provide accurate, current, and complete information about yourself (“User Data”).

(b) Maintain and promptly update the User Data.

You acknowledge that Pi Exploration, Inc may utilize your Data to furnish the Services you access or use, as outlined in these Terms and our Privacy Policy. Additionally, you commit to creating only one account for personal use and not sharing your account or Pi Exploration, Inc subscription with others. If you furnish inaccurate or outdated User Data or create multiple accounts, Pi Exploration, Inc has the right to suspend or terminate your account and deny present or future use of the Services. By using the Services, you assert that you are not prohibited from receiving services under the laws of any applicable jurisdiction.

Events on Pi

Events listed on Pi are organized by event hosts, not us. We are a third party service providing the technology for managing events, and are not responsible or liable:

  • for event or race cancellations by the host;
  • for any content or activities related to the event and races;
  • for any injuries or medical emergencies related to the events and races; 
  • for the accuracy of the event or race information provided by the host, including the time and connection details.

If you have an issue or question regarding any of the above, you should contact the event host. Hosts have full control over their events, and it is their responsibility to inform you of any relevant terms or policies that apply to your use of the Service outside of these Terms, as well as to respond to and resolve any disputes that you may have regarding their events or races. 

Security Responsibilities

You are solely responsible for maintaining the confidentiality of your account password and limiting access to your password, computer, and mobile device while logged into the Services. You accept responsibility for all activities under your account or from your devices. While Pi Exploration, Inc employs reasonable security measures, absolute security cannot be guaranteed. We cannot assure that our security measures will prevent unauthorized access. You agree to promptly notify Pi Exploration, Inc of any unauthorized use of your account or password and any other security breaches, understanding the risks involved.

It is highly recommended to use unique and complex passwords for security reasons.

Third-Party Network Registration

You may register for or log in to your account through a third-party network, such as Apple, Facebook or Google. By doing so, you authorize Pi Exploration, Inc to pre-fill the registration and relevant information fields of your account and/or use third-party credentials to log you in. If you link your account to a third-party network, you agree to comply with the terms, conditions, and policies applicable to that third party.

Text Messaging

By using the Service, you are giving consent to be contacted by Pi Exploration, Inc or its affiliates or partners via text message, SMS, and/or MMS for various purposes, such as marketing, solicitation, informational, or others. This applies even if your telephone number(s) is listed on the National Do Not Call List, a state Do Not Call List, or the internal Do Not Call List of Pi Exploration, Inc or its affiliates or partners. If you no longer wish to receive such text messages, you can respond to any text, SMS, or MMS message from us by texting “STOP” to cancel or “HELP” for customer support information. Choosing to cancel these messages means you will no longer have access to the Service, and you agree to receive a final message from us confirming your cancellation.

There is no additional charge for telephonic communications, but your carrier’s standard message and data rates apply to any text messages, SMS, or MMS messages you send or receive. Your carrier may prohibit or restrict certain mobile features, and some features may be incompatible with your carrier or mobile device. We are not responsible for any delays in receiving or failures to receive text messages, SMS, or MMS messages, as delivery is contingent on effective transmission by your mobile carrier and the compatibility of your mobile device. If you have questions about these issues or your mobile data and messaging plan, please contact your mobile carrier.

Payment Processing

Pi utilizes Stripe for payment processing. We maintain transaction information to facilitate participant registration for events and assist event organizers in participant management. Pi does not directly store credit card or payment details. Refer to the Stripe Services Agreement for information on how Stripe handles payment data.

Fees

For each participant using Pi Services, a registration fee determined by the host plus a Processing Fee will be charged. The Processing Fee, set by Pi, may change at our discretion but will always be clearly disclosed on our platform and to you and your registrants. Processing Fees will not change while your event is open for registrations. Pi will collect registration fees and Processing Fees. By using our Services, you consent to Pi collecting these fees.

In the provision of our Services, you agree that Pi may send registration fees collected, minus Processing Fees, directly to you. You warrant that you’re authorized to receive these funds on behalf of the Organizer. You also agree to indemnify Pi for any claims arising from the payment of funds to you.

Taxes

Hosts are responsible for collecting and remitting any applicable Taxes, except when Pi automatically handles Sales Tax according to the law or when we agree to manage Taxes on your behalf. All fees, including Processing Fees, are exclusive of Taxes, which you and/or registrants will pay if imposed. Payments to Pi under this agreement will be made without deductions unless required by law, in which case you’ll pay additional amounts to ensure Pi receives the full payment.

Refunds

Hosts are solely responsible for handling refunds. If Pi must process refunds on your behalf, you’re liable for the refunded amounts, Pi’s processing fees, and any associated fees from payment processors. Pi may withhold payments if there are complaints or chargebacks, fraud, insufficient funds for refunds, or for other reasons as deemed necessary. A holdback reserve may be required for refunds and chargebacks, subject to Pi’s discretion.

Payment Processing Changes

Pi may use other processors for payment processing in the future. By agreeing to this, you consent to the transfer of your payment account to another similar service if Pi decides to switch processors, provided there are no material changes to the Services.

Content on Pi Website and Mobile Applications

Unless explicitly stated otherwise or clearly evident, all content accessible on Pi Exploration, Inc is either owned or supplied by Pi Exploration, Inc or its licensors. Pi Exploration, Inc is committed to making every reasonable effort to ensure that the content available on its platform does not violate any applicable legal provisions or the rights of third parties. However, achieving such a result may not always be feasible.

In instances where concerns arise, and without waiving any legal rights of Users to assert their claims, Users are kindly urged to report related complaints using the contact details provided in this document.

Content Rights

Pi Exploration, Inc, as the Owner, maintains and reserves all intellectual property rights for any content available on its platform.

Users are expressly prohibited from utilizing such content in any manner that exceeds what is necessary or implied in the proper use of the Service.

Specifically, but not limited to, Users may not engage in activities such as copying, downloading, sharing (beyond the prescribed limits below), modifying, translating, transforming, publishing, transmitting, selling, sublicensing, editing, transferring/assigning to third parties, or creating derivative works from the content accessible on Pi Exploration, Inc. This prohibition extends to not allowing any third party to undertake these actions through the User or their device, even without the User’s knowledge.

Unless explicitly stated otherwise on Pi Exploration, Inc, Users may download, copy, and/or share certain content available through the platform solely for personal and non-commercial use. This is permitted provided that the copyright attributions and all other attributions requested by Pi Exploration, Inc are correctly implemented.

Any applicable statutory limitations or exceptions to copyright shall remain unaffected.

Content Submitted by Users

Pi Exploration, Inc permits Users to upload, share, or provide their own content to Pi Exploration, Inc.

By contributing content to Pi Exploration, Inc, Users affirm that they have the legal right to do so and are not violating any legal provisions or third-party rights.

Rights Regarding User-Provided Content

Users acknowledge and agree that by submitting their content to Pi Exploration, Inc, they grant the Owner a non-exclusive, fully paid-up, and royalty-free license to process such content solely for the operation and maintenance of Pi Exploration, Inc as contractually required.

To the extent allowed by applicable law, Users waive any moral rights associated with the content they provide to Pi Exploration, Inc.

Users recognize, accept, and confirm that all content they provide through Pi Exploration, Inc is subject to the same general conditions set forth for content on Pi Exploration, Inc.

Liability for Provided Content

Users bear sole responsibility for any content they upload, post, share, or provide through Pi Exploration, Inc.

Users acknowledge and accept that the Owner does not filter or moderate such content.

Users agree to indemnify the Owner from any claim asserted and/or damage suffered due to content they provided to or through Pi Exploration, Inc.

Access to External Resources

Through Pi Exploration, Inc, Users may access external resources provided by third parties. Users acknowledge and accept that the Owner has no control over such resources and is therefore not responsible for their content and availability.

Conditions applicable to any resources provided by third parties result from each third party’s terms and conditions or, in their absence, applicable statutory law.

General Use

Pi Exploration, Inc and the Service may only be used within the scope of their provided purpose, under these Terms and applicable law.

Users are solely responsible for ensuring that their use of Pi Exploration, Inc and/or the Service complies with applicable laws, regulations, or third-party rights.

The Owner reserves the right to take appropriate measures to protect its legitimate interests, including denying Users access to Pi Exploration, Inc or the Service, terminating contracts, and reporting misconduct through Pi Exploration, Inc or the Service to competent authorities—such as judicial or administrative authorities—whenever Users engage or are suspected to engage in activities that:

  • Violate laws, regulations, and/or these Terms.
  • Infringe any third-party rights.
  • Considerably impair the Owner’s legitimate interests.
  • Offend the Owner or any third party.

Medical Services Disclaimer

Healthcare Consultation:

Pi Exploration, Inc strongly advises consulting with your healthcare provider before utilizing the Service. By using the Service, you assert that your health is sufficient to start using it, which may involve dietary changes, adjustments to physical activity levels, and other factors. If you have a health condition that the Service may impact, you confirm obtaining explicit approval from a healthcare professional. Active engagement and participation are required for the Service, and while individual user results may vary, Pi Exploration, Inc cannot guarantee the achievement of health goals.

Not a Medical Care Provider:

Pi Exploration, Inc is not a licensed medical care provider, and its specialists do not act in a healthcare professional capacity. They do not provide medical or clinical services, diagnose, treat, or manage any illness, disease, or condition. Pi Exploration, Inc lacks expertise in diagnosing, examining, or treating medical or psychological conditions or determining the effect of any specific exercise on a medical condition. Users are advised not to alter their treatment or care plans, medication, or therapy based on information received through the Service. Always seek advice from a physician or other qualified healthcare practitioner regarding your medical condition, medication, or medical device use.

Informational Purposes Only:

Information provided by Pi Exploration, Inc is for informational purposes only and does not constitute a recommendation or endorsement of any drug, device, or treatment. It does not imply that a particular drug, device, or treatment is safe, appropriate, or effective for you. Questions regarding any drug, device, or treatment should be directed to your healthcare provider. Users should never disregard professional medical advice or delay seeking it based on information from the Service. Consult your healthcare professional if you have questions or concerns about your health or condition, experience changes in your health status, or require emergency, time-sensitive, urgent, remote, or critical care services. In case of a medical emergency, call emergency services or go to the nearest open emergency room immediately.

Data Privacy

Pi Exploration, Inc does not share or sell user data to third parties. The collection of aggregated and completely anonymized data serves research purposes to enhance user services and improve app functionality. Aggregated, statistically reworked, and/or anonymized user data, which cannot reasonably identify individuals, may be used to publish research contributing to open science.

Recreational Use Only:

Pi Exploration, Inc is not a medical app and is not intended for medical purposes. Analysis of heartbeat, workout, sleep, and lifestyle data is for recreational purposes only, aiding users in leading healthier lives. It should not be assumed to be exceptionally accurate and cannot be used for medical purposes, diagnosis, treatment, cure, or prevention of any disease or condition.

Disclaimer of Warranties

Pi Exploration, Inc is provided strictly on an “as is” and “as available” basis. Your use of the Service is at your own risk. To the maximum extent allowed by applicable law, Pi Exploration, Inc explicitly disclaims all conditions, representations, and warranties—whether express, implied, statutory, or otherwise. This includes, but is not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights. No advice or information, whether oral or written, obtained from Pi Exploration, Inc or through the Service, will create any warranty not expressly stated in these Terms.

Pi Exploration, Inc, its subsidiaries, affiliates, licensors, officers, directors, agents, co-branders, partners, suppliers, and employees do not warrant that the content is accurate, reliable, or correct; that the Service will meet your requirements; that the Service will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components. Any content downloaded or obtained through the use of the Service is done at your own risk, and you are solely responsible for any damage to your computer system or mobile device or loss of data resulting from such download or use of the Service.

Pi Exploration, Inc does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Service or any hyperlinked website or service. Pi Exploration, Inc shall not be a party to or in any way monitor any transaction between you and third-party providers of products or services.

The Service may become inaccessible or may not function properly with your mobile device. Pi Exploration, Inc cannot be held liable for any perceived or actual damages arising from Service content, operation, or use.

Federal law, some states, and other jurisdictions may not allow the exclusion and limitations of certain implied warranties. The disclaimers and exclusions under these terms may not apply to you. This Agreement grants you specific legal rights, and you may also have other rights that vary from state to state. The disclaimers and exclusions of liability under these terms shall not apply to the extent prohibited by applicable law.

Limitations of Liability

You expressly understand and agree that Pi Exploration, Inc, its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees shall not be liable for:

  • Any Indirect, punitive, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, use, data, or other intangible losses arising from or related to the use of, or inability to use, the Service.
  • Any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Service, User account, or the information contained therein.
  • Any errors, mistakes, or inaccuracies of content.
  • Any personal injury or property damage resulting from User access to or use of the Service.
  • Any unauthorized access to or use of the Owner’s secure servers and/or personal information stored therein.
  • Any interruption or cessation of transmission to or from the Service.
  • Any bugs, viruses, trojan horses, or similar elements transmitted to or through the Service.
  • Any errors or omissions in any content or loss/damage incurred from the use of posted, emailed, transmitted, or otherwise made available content.
  • Any defamatory, offensive, or illegal conduct of any User or third party. 

This limitation of liability shall apply to the fullest extent permitted by law, whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the company has been advised of the possibility of such damage.

Indemnification

You agree to indemnify and hold Pi Exploration, Inc, and its subsidiaries, affiliates, officers, agents, representatives, employees, partners, and licensors harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of:

  • Content you submit, post, transmit, or otherwise seek to make available through the Services.
  • Your use of the Services.
  • Your activities generating the Content you post or seek to post on the Services, including activities in connection with any events sponsored, organized, participated in, or used in connection with Pi Exploration, Inc’s Services.
  • Your connection to the Services.
  • Your violation of the Terms.
  • Your violation of any data protection or privacy laws.
  • Your violation of any rights of another person or entity.

Note

Your rights with respect to Pi Exploration, Inc are not modified by the foregoing indemnification if the laws of your country of residence, applicable as a result of your use of our Services, do not permit it.

No Waiver

Pi Exploration, Inc’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision.

Service Interruption

To ensure the best possible service level, Pi Exploration, Inc reserves the right to interrupt the Service for maintenance, system updates, or any other changes, informing Users appropriately. The Owner may also decide to suspend or terminate the Service. If the Service is terminated, Pi Exploration, Inc will cooperate with Users to enable them to withdraw Personal Data or information as per applicable law.

Service Reselling

Users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of Pi Exploration, Inc and its Service without the Owner’s express prior written permission.

Privacy Policy

For more information about the use of your Personal Data, you may refer to the privacy policy of Pi Exploration, Inc provided on our website and mobile applications. 

Intellectual Property Rights

All intellectual property rights, including copyrights, trademark rights, patent rights, and design rights related to Pi Exploration, Inc. are the exclusive property of Pi Exploration, Inc or its licensors. These rights are subject to protection granted by applicable laws or international treaties concerning intellectual property.

All trademarks, whether nominal or figurative, and all other marks, trade names, service marks, word marks, illustrations, images, or logos associated with Pi Exploration, Inc are and remain the exclusive property of Pi Exploration, Inc or its licensors. These are subject to protection granted by applicable laws or international treaties related to intellectual property.

Governing Law and Jurisdiction  

The Service is created and controlled by Pi Exploration, Inc. in the State of California, United States of America. You agree that these Terms of Use will be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law provisions. You agree that all legal proceedings arising out of or in connection with these Terms of Use or the Service must be brought in a federal or state court located in California, and that your claim(s) will be forever waived and barred unless filed within one year of the time in which the event(s) giving rise to such claim(s) began. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process.

Modifications  to these Terms

Pi Exploration, Inc reserves the right to amend or modify these Terms at any time. In such instances, Pi Exploration, Inc will duly inform the User of these changes.

Changes will apply only to the User’s relationship with Pi Exploration, Inc going forward.

Continued use of the Service indicates the User’s acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must cease using the Service. Failure to accept the revised Terms may entitle either party to terminate the Agreement.

The applicable previous version will govern the relationship before the User’s acceptance. Users can obtain any previous version from Pi Exploration, Inc.

If required by applicable law, Pi Exploration, Inc will specify the date on which the modified Terms will enter into force.
